# Alison Davis: disputed Linqto role and separate proceedings

**Question.** How should conflicting board accounts and outside cases be read?

**Answer.** Davis’s alleged Linqto directorship is expressly denied. Her BCSA and failed-SVB roles and litigation are separate capacities with separate procedural outcomes.

## The disputed Linqto directorship

- Analysis: Linqto’s financial-affairs statement and amended customer complaint describe Davis as a Linqto director in April 2024–January 2025. Fifth Era Acquisition Corp. I’s March 2026 annual report acknowledges her defendant status but expressly denies that she served on Linqto’s board in 2024–2025 and says it seeks dismissal. The issuer’s denial and the debtor/plaintiff accounts conflict; the retained materials do not resolve that factual dispute. [s-d18] [s-d22] [s-d183] [s-d147]
- Analysis: The same annual report identifies Davis as Fifth Era Acquisition Corp. I’s managing director at the report date, distinct from BCSA and Fifth Era, LLC. It describes Davis and Matthew Le Merle as spouses and founders/managers of Fifth Era and Blockchain Coinvestors, and Davis as BCSA managing director in November 2021–November 2024. The fund family and acquisition SPAC remain separate organizations. [s-d183]

## Failed-bank service and the FDIC case

- Analysis: Fifth Era’s annual report dates Davis’s outside-director service at both Silicon Valley Bank and SVB Financial Group from May 2020 until the bank entered receivership on March 10, 2023. It says she remained on the holding-company board until November 7, 2024. The failed bank, its holding company and the later First-Citizens SVB division are distinct identities. [s-d183]
- Analysis: The FDIC’s January 16, 2025 complaint names Davis among former bank directors and seeks damages for negligence, gross negligence and fiduciary breaches. Judge Noël Wise denied motions to dismiss on October 23, 2025, allowing the claims to proceed and requiring answers by November 12. That order did not decide liability. Fifth Era’s March 2026 report says there had been no adverse factual findings or judgments concerning Davis in its listed SVB matters. These proceedings do not establish any connection between the bank’s collapse and Linqto. [s-d246] [s-d267] [s-d183]

## Separate SPAC asset litigation

- Analysis: A retained legal-news summary describes Gabi Gliksberg’s November 22, 2024 Delaware complaint against BCSA, its sponsor, Davis, Le Merle and other directors, alleging attempted appropriation of more than $8 million in residual SPAC assets. The original complaint was not retained. Fifth Era’s annual report independently identifies Gliksberg v. BCSA, C.A. No. 24-1202, as pending and describes disputed trust-account distributions. That account establishes neither the merits nor Linqto’s involvement; no later judgment or settlement is established in the retained evidence. [s-d314] [s-d183]
