# Jeffrey Stein: restructuring authority and career context

**Question.** What powers did the Linqto records give Stein?

**Answer.** Stein acted as CRO and debtor representative through Breakpoint. Sale and selection authorities had conditions, and outside roles carry separate career dates.

## Appointment and authority

- Analysis: The General Committee ratified the debtors’ engagement with Breakpoint effective June 3, 2025, with Jeffrey Stein designated as chief restructuring officer and a nonvoting adviser to the Special Subcommittee. Stein said he was a Breakpoint member rather than a debtor director, legal manager or equity holder. Sonder’s September 2025 biography dates his Linqto CRO service to May, an earlier service date than contract ratification. [s-d6] [s-d274]
- Analysis: The settlement allowed the DIP lender to appoint Stein as attorney-in-fact to select and sell securities for repayment, subject to creditors’ committee consent. The term sheet separately delegated trustee and fund-manager selection to him as debtor representative. These were scoped authorizations, rather than evidence that every contemplated sale or transition occurred. [s-d70]

## Outside restructuring roles

- Analysis: Stein’s October 2025 declaration identifies Breakpoint co-founder/managing partner and prior CRO or board roles at Whiting Petroleum, Philadelphia Energy Solutions, Westmoreland Coal, Ambac Assurance, MLR Petroleum, Vertex Energy, Aearo Technologies, Intelsat Connext Finance and NMC Health. Sonder’s September biography identifies Breakpoint service from April 2025 and Stein Advisors from July 2010, alongside then-current Sunnova, Tribune Resources, Philadelphia Energy Solutions, Ditech and Ambac Financial Group roles and earlier Rite Aid and GWG work. These are the biographies’ dated career accounts, with no claim that every office continued through the evidence cutoff. Its May CRO service date is separate from the June 3 contract ratification.
