# MFS and Cronus Finance: funding and servicing duties

**Question.** What roles did MFS perform for Cronus Finance?

**Answer.** Cronus was a trustee-controlled funding vehicle whose arrangements limited MFS’s use of its funds to mortgage transactions. Its insolvency and payment-recovery litigation concern related but distinct events.

## A financing vehicle with controlled accounts

- Analysis: Ocorian (UK) is Cronus’s registered controlling entity, while Ocorian Trustee holds the security-agent role. The October 2025 transaction documents gave MFS authority over a Cronus account for mortgage advances and purchases. Those contractual capacities differ from beneficial ownership of the issuer. [s-d134] [s-d50] [s-d138]
  - Qualification: The register does not name Raja as controller; this is not proof excluding all economic or contractual connections. A security agent’s registered charge does not establish that it advanced the funds itself. The trust arrangements and initial breach were undisputed for this application; tracing into each recipient’s payment and recipient notice remain distinct issues.
- Analysis: Cronus’ progress report identifies Wells Fargo Bank N.A., London Branch as senior warehouse lender and Earth (EHL) Holdings as junior lender. At appointment, approximately £142.7 million senior funding, £18.7 million mezzanine notes and £30.5 million subordinated notes were outstanding. MFS had originated and serviced the loans; Lenvi subsequently serviced part of the portfolio. Administrators expected an undetermined senior dividend and no junior dividend. [s-d206]
  - Outcome: £3,728,322 mortgage receipts and £4,755,963 solicitor refunds received in period;£149,122 receipts contested; no trust-account cash recovered during that period. Senior dividend expected but amount unquantified; no junior dividend anticipated.

## Administration and payment litigation

- Analysis: Cronus entered administration on 3 March 2026. In the separate payments case it and Ocorian Trustee challenged recipients of December MFS payments. The June judgment dismissed claims against specified contesting defendants and continued a proprietary injunction against Dewan pending trial. The progress report also records £200,000 from settlements and £424,431 agreed to settle certain defendants’ legal costs. These distinct procedural outcomes are explained in the detailed payments page. [s-d205] [s-d206] [s-d138]
  - Qualification: The dismissals concerned the six other defendants contesting that application. Other defendants had separately resolved the injunction or claims; they were not all adjudicated in this decision. Dewan’s investment and withdrawal account is his evidence. The court expressly recognised that he might have acted entirely in good faith and left his notice of the trust for trial.
  - Response: The contesting recipients said they had received repayments of loans in good faith without notice of the trust. Dewan challenged tracing and raised hardship; his good-faith issue was left for trial. Dewan said the payment followed his withdrawal notice and contended that communications through his mother to Raja were notice to MFS.
  - Outcome: Injunction was unsuccessful at substantive return hearing 23 June 2026; settlements produced £200,000 and certain defendants’ costs were settled for £424,431. The injunction continued against Dewan pending trial or further order; the claims against the other six contesting defendants were dismissed. The court continued the injunction against Dewan, leaving trust notice and good faith for trial.
