# MFS and Trident: mortgage sales and senior funding

**Question.** What does the Trident deed establish about parties and protections?

**Answer.** The November 2024 deed identifies MFS as mortgage seller and introducer, Santander’s London branch as senior noteholder and hedge provider, and PSR Equities in junior and risk-retention roles.

## Contractual capacities

- Analysis: Trident Funding was the issuer. Banco Santander’s London branch was initial senior noteholder and hedge provider; PSR Equities was subordinated lender, risk-retention holder and initial mezzanine noteholder. MFS sold mortgages and introduced new lending. U.S. Bank Global Corporate Trust acted as cash manager, Barclays as account bank and TMF as security agent. [s-d225]
- Analysis: The collection-account declaration placed rights in an MFS account at Barclays in trust for Trident, and those rights entered the fixed security. Borrower payments therefore could enter an account in MFS’s name while carrying interests belonging to Trident. TMF’s registered control of the issuer is a separate trustee-shareholding role. [s-d225] [s-d101] [s-d51]
  - Qualification: The registered controller and security trustee must be distinguished from economic funders; the PSC page alone does not establish all beneficial interests. The charge-register page does not identify the lenders behind the trustee.
  - Outcome: Legal collection-account trust mechanism documented; actual application of every borrower payment is not proved.

## Protections and subsequent procedure

- Analysis: The senior facility’s availability period was 24 months unless an early-amortisation event intervened. The deed lists audit qualification, specified control or reputational changes and PSR cross-default among triggers; it does not disclose the facility limit in the cited provisions or establish occurrence of every trigger. [s-d225]
- Analysis: Trident entered administration on 10 March 2026. The proposals estimated approximately £481 million of secured debt and recorded a £461,061,853 loan portfolio whose realisation was uncertain. The administrators initially identified 93 loans worth approximately £132 million for servicing, subject to further ownership investigation. A later receipts-and-payments note states that recovered cash was excluded pending financial-crime checks; its OCR amount is unclear. [s-d173]
  - Outcome: Administrators expected a shortfall to secured creditors; no distribution had been made at the reporting date. Separately, Trident’s administrators reported a 23 April 2026 order requiring transfer of the vehicle’s cash by 8 May 2026. Recovered funds were excluded from the receipts-and-payments statement pending financial-crime checks; the OCR amount is unclear.
