# Alfred Gusenbauer: Signa offices, fees and proceedings

**Question.** What were Alfred Gusenbauer’s documented Signa roles and disputes?

**Answer.** Gusenbauer served in Signa’s advisory and supervisory structures; his consulting fees and separate alleged success-fee decisions later became disputed.

## Adviser, chairman and investor-foundation officer

- Analysis: SIGNA’s archived September 2013 page lists Alfred Gusenbauer among its advisory-board members. His role in Holding was distinct from chairing the supervisory boards of Prime Selection and Development Selection. Benko’s parliamentary testimony also distinguishes a consultancy contract with Holding from the capacity in which Gusenbauer contacted the financial regulator about Prime’s banking examination. [s-d260] [s-d187]
- Documented: SIGNA’s archived September 2013 advisory-board page listed René Benko, Alfred Gusenbauer, George Economou, Karl Samstag, Karl Stoss, Susanne Riess, Peter Hasskamp, Rainer de Backere and Wendelin Wiedeking. [s-d260]
  - Qualification: This is the company’s historical self-description at the archived date. Placement first in the list does not prove chairmanship; membership is distinct from a managing-director appointment.
- Attributed: Benko told the COFAG committee that Alfred Gusenbauer contacted the FMA in his capacity as Signa Prime supervisory-board chairman about the banking/ECB examination and offered discussions with ECB representatives. [s-d187]
  - Qualification: Benko’s testimony supplies his interpretation of Gusenbauer’s regulator contact; it is not an independently determined account of the regulator’s actions or the consultancy contract.
  - Response: Benko considered that a legitimate supervisory-board duty and said it had nothing to do with Gusenbauer’s consultancy contract with SIGNA Holding. He described the capacity as his interpretation and said details should be put to Gusenbauer.
- Analysis: Gusenbauer also appears in the retained corporate record as a board member of Haselsteiner Familien-Privatstiftung, an investor foundation, alongside HPH Privatstiftung and Wartenfels Privatstiftung. The record gives no start dates for these appointments. A foundation board seat does not mean that he personally owned the foundation’s Signa investment. [s-d294]

## The fee recipient and other companies

- Analysis: Gusenbauer Projektentwicklung & Beteiligung GmbH is the separately identified Vienna company, FN 319413a, wholly owned and managed by Alfred Gusenbauer. Its investments include 50% of Cudos Capital, 50% of microC and 16.67% of Stadtquartier Wieselburg Errichtungs. It is also the general partner of the separate Gusenbauer GmbH & Co KG. The KG, FN 159497f, records Alfred’s EUR 35,000 contribution and Selina Gusenbauer’s EUR 300 limited-partner contribution; neither amount is an ownership percentage. [s-d320] [s-d325]
- Documented: The retained company record identifies Gusenbauer Projektentwicklung & Beteiligung GmbH, FN 319413a, VAT ATU64747769, as wholly owned and solely represented by Alfred Gusenbauer. It lists investments of 50% in Cudos Capital, 50% in microC and 16.67% in Stadtquartier Wieselburg Errichtungs, plus its general-partner role in the separate Gusenbauer KG. [s-d320]
  - Qualification: The GmbH and KG are separate legal entities. A listed shareholding is not a finding that the investee received Signa consultancy payments.
- Analysis: The GmbH’s financial display at 31 December 2024 reports EUR 10.25 million of assets and EUR 5.63 million of equity. Its EUR 5.59 million balance-sheet profit is a retained/distributable-profit item rather than necessarily annual earnings, while EUR 2.00 million of provisions must not be called capital reserves. These company figures do not establish Gusenbauer’s personal wealth. S. Gusenbauer Consulting FlexCo is another distinct company, recorded in 2024 with Selina as sole shareholder and Alfred as manager; its creation after the Signa collapse does not establish that it succeeded to the fee business or shifted its assets. ## Two different proceedings

- Analysis: Gusenbauer’s Holding relationship included substantial billed consultancy fees and later contested estate recovery. The detailed invoice chronology and distinction between personal advisory-board fees and payments to his GmbH are explained in the Gusenbauer–Holding relationship page. By May 2026 the approximately EUR 5 million civil fee dispute remained pending. His reported description of Benko as Signa’s mastermind during testimony is his characterization, not a judicial finding of corporate authority. [s-d65] [s-d245] [s-d174]
- Attributed: Retained invoice reporting gives two Gusenbauer consulting-firm invoices to Holding billed in 2021: EUR 3.6 million for 1 January 2020–28 February 2021 and EUR 2.4 million for 1 February–31 August 2021, totalling EUR 6 million including VAT. The stated assignment concerned Galeria restructuring, financing of its D18 package and an application for a WSF subordinated loan. A separate April 2022 invoice was EUR 1.25 million for services during October 2021–March 2022. [s-d65]
  - Qualification: Invoice dates and service periods differ. The overlapping service periods are as reported and have not been reconciled to contracts or timesheets. Amounts billed do not establish payment or wrongdoing; the original service description uses WST, interpreted in the retained account as WSF.
- Attributed: A May 2026 account of Stapf’s report says the administrator still sought approximately EUR 5 million from Alfred Gusenbauer and his consulting GmbH and expected hearings to continue for months. [s-d174]
  - Qualification: This is the pending civil recovery dispute, not a judgment ordering repayment. The same account separately records a EUR 1.4 million BDO settlement and a EUR 9.2 million TPA dispute.
- Analysis: A separate WKStA investigation concerns success-fee advances at Prime and Development in October and November 2022. Prosecutors allege Gusenbauer arranged and ordered unjustified advances with a board member without full supervisory-board approval, causing EUR 10 million combined damage. Gusenbauer rejects the allegations. The retained prosecution overview records suspected breach of trust, not a conviction, and this matter must not be merged with Holding’s consultancy-fee recovery suit. [s-d243] [s-d303]
