# Wolfram Keil: Elias transactions and retail liquidation roles

**Question.** What do Keil’s offices establish about the Elias and retail structures?

**Answer.** The sources establish Keil’s separate management and liquidation roles and a published shareholder change from Holding to Elias Investments. They do not establish his beneficial ownership or the price or legality of that transfer.

## What this research adds

- Analysis: This profile explains Keil’s transitions between management and liquidation and summarizes the separately documented Elias shareholder change. [s-d151] [s-d124] [s-d114] [s-d192] [s-d238] [s-d288] [s-d103] [s-d177]

## Historical group office and the Elias company

- Analysis: A register-history summary gives Wolfram Johannes Keil a management role at SIGNA Core Holding from January 2015 until its deletion in December 2018 after merger into the Holding. The company had earlier been called SIGNA Invest. Keil’s mandate was therefore tied to a particular historical holding vehicle, alongside other separately dated managers, rather than a timeless role over the whole Signa group. [s-d151] [s-d124] [s-d114]
  - Qualification: References via other companies, especially after Core’s deletion, cannot be treated as present direct shareholdings by Core.
- Attributed: SIGNA Core Holding GmbH, FN 353543 t, was registered on 28 September 2010 with SIGNA Holding as shareholder and EUR 35,000 capital. Formerly SIGNA Invest, it was renamed in January 2015 and deleted on 20 December 2018 following merger into SIGNA Holding. [s-d151] [s-d124] [s-d114]
  - Qualification: This business-information record establishes the described actors, period and scope, not an independently confirmed later status.
- Attributed: A historical summary gives SIGNA Core's managers as Christoph Stadlhuber and Wolfram Johannes Keil from 8 January 2015 to deletion on 20 December 2018, Frank Tölle to 1 February 2018 and Manuel Pirolt from 29 June 2017 to deletion. It also records the MICHEL Epsilon and Holding mergers. [s-d151]
  - Qualification: This business-information record establishes the described actors, period and scope, not an independently confirmed later status.
- Analysis: A company-history summary dates Wolfram Keil’s Elias Investments management role to 29 April 2005, when the company was CharWolf; a relocation entry lists him again in March 2014. In February 2023, the Elias Retail Management shareholder entry changed from SIGNA Holding to Elias Investments, and Keil replaced an abbreviated departing manager. The official shareholder entry is dated 21 February. Management of Elias Investments does not establish Keil as its owner, and the register summary gives no transfer consideration. Overlap with an attributed assessment that the Holding had already become insolvent is relevant chronology, not proof that the transfer was unlawful. [s-d192] [s-d238] [s-d288] [s-d103] [s-d177]
  - Qualification: No price is disclosed in the inspected summary; overlap with Deloitte’s claimed insolvency timing does not itself prove an unlawful transfer. Keil’s management does not prove he owned Elias Investments.
  - Response: In reported Deloitte interviews, Marcus Mühlberger said he saw no indication of impending insolvency on 30 November 2022 and no breach of his management duties. He said difficulties became apparent only in September or October 2023 and external insolvency advisers were then brought in.
- Attributed: Register summaries list Wolfram Keil as managing director of Elias Investments, formerly CharWolf, in a relocation entry dated 12 March 2014; a separate company history records his management role from initial registration on 29 April 2005. They list him managing MEG Möbelhandels from 26 September 2023 and becoming its liquidator on 25 October 2025. [s-d192] [s-d238] [s-d288]
  - Qualification: The March 2014 relocation entry is not evidence that the management role first began then. The summaries do not certify continuing appointments at the evidence cutoff.
- Attributed: Reporting of Deloitte's forensic assessment states that SIGNA Holding was materially insolvent by November 2022; the retained administrator-report account describes a simplified expert calculation reaching that timing. [s-d103] [s-d177]
  - Qualification: The November 2022 timing is an attributed forensic/administrator assessment, not a court determination of every manager’s criminal liability.
  - Response: In reported Deloitte interviews, Marcus Mühlberger said he saw no indication of impending insolvency on 30 November 2022 and no breach of his management duties. He said difficulties became apparent only in September or October 2023 and external insolvency advisers were then brought in.

## The transition from management to liquidation

- Analysis: Elias Retail Management’s official register gives Keil’s representation as liquidator from 13 June 2025, with the liquidation publication on 2 July. These dates describe different aspects of the same transition and should not be substituted for one another. The underlying company remains distinct from Elias Investments, which is recorded as its shareholder. Its later liquidation does not itself determine the terms or merits of the earlier shareholder change. [s-d192] [s-d238]
  - Qualification: No price is disclosed in the inspected summary; overlap with Deloitte’s claimed insolvency timing does not itself prove an unlawful transfer. Keil’s management does not prove he owned Elias Investments.
- Analysis: MEG Möbelhandels is a separate Austrian company. Register summaries name Keil as managing director from September 2023 and liquidator from October 2025. Keeping those capacities and periods separately visible prevents an office during ordinary corporate operation from being confused with a later winding-up mandate. Neither office establishes that Keil owned MEG or that its debts belonged to him personally. [s-d192] [s-d238] [s-d288]
  - Qualification: Keil’s management and liquidation are distinct capacities and do not establish his beneficial ownership of MEG.

## Sports, marketplace and department-store vehicles

- Analysis: The later summaries record Keil as liquidator of SIGNA International Sports Holding in December 2023 and SIGNA Luxury Marketplace during the same month. They also describe liquidation roles in SISH Verwaltung and Beteiligung vehicles and SIGNA Beteiligung II during early 2024, followed by Ypsilon Beteiligung Verwaltungs in June. His management roles at The KaDeWe Group Holding and its IPCo vehicle ended in November 2024. These are separately named legal companies, even where several have the same business family or share a corporate name fragment. [s-d192]
- Attributed: Register summaries record Keil as liquidator of SIGNA International Sports Holding in December 2023, SIGNA Luxury Marketplace in December 2023, SISH vehicles and SIGNA Beteiligung II during early 2024, and Ypsilon Beteiligung Verwaltungs in June 2024. He left The KaDeWe Group Holding and IPCo management in November 2024. [s-d192]
  - Qualification: This business-information record establishes the described actors, period and scope, not an independently confirmed later status.
