# SIGNA Holding and INGBE: villa shares and disputed value

**Question.** What did Holding reportedly transfer to INGBE, and what did it receive?

**Answer.** The retained accounts describe an August 2023 transfer of villa-company shares for Prime shares, with the adequacy of consideration disputed.

## The August 2023 transaction

- Analysis: Luxembourg’s RESA filing published on 23 August 2023 identifies Villa Eden Gardone Beteiligung, RCS B 209529, and records that an 18 August share-sale and assignment left Holding with zero shares and INGBE with all 12,500 shares from that date. The filing gives no price. This establishes the dated change in shareholding, not the adequacy of consideration or an ownership stake in the foundation itself. [s-d154] [s-d124] [s-d114]
- Analysis: The later police-report account gives EUR 46.3 million as the price, set off against Signa Prime shares rather than paid in cash. Stapf considered the received investment worthless, while investigators’ account considered Prime materially insolvent from 31 March 2022. These are attributed valuation and insolvency assertions, not final court findings on the exchange. By May 2026 the Holding estate’s approximately EUR 46.4 million INGBE dispute had ended in a confidential judicial settlement; the undisclosed terms do not establish the merits or the amount paid. [s-d224] [s-d309] [s-d174]
- Attributed: SIGNA Holding administrator Christof Stapf alleged that an August 2023 circular exchange transferred valuable Lake Garda villa-company holdings towards INGBE Stiftung, while SIGNA Holding received shares in another Signa company that he considered worthless. His reported account attributes instructions to René Benko and a Signa manager and says no cash moved in the exchange. [s-d224] [s-d309] [s-d174]
  - Qualification: This is the administrator’s allegation in an avoidance dispute, rather than a court finding of misconduct. The exchanged shares were a Signa-company investment held by INGBE, not an ownership interest in the foundation itself.
  - Response: Benko has denied criminally relevant participation; his lawyer later said the proposed artwork-for-villa exchange was never executed. That defense concerns the subsequent proposed exchange and must not automatically be treated as a denial that the August 2023 villa transfer occurred.
  - Outcome: By May 2026 the Holding estate’s approximately EUR46.4 million Ingbe dispute had ended in a confidential judicial settlement; its terms and merits were not disclosed.
- Attributed: A retained August 2026 investigation account says SIGNA Holding transferred Villa Eden Gardone Beteiligung S.à r.l., owner of six Lake Garda villas, to INGBE in August 2023 for EUR 46.3 million, set off against Signa Prime shares. Investigators considered Prime materially insolvent from 31 March 2022. [s-d309] [s-d174]
  - Qualification: The price and earlier insolvency assessment are allegations in the reported police account, not figures contained in the separate ownership filing or a judgment. The villa company is distinct from the hotel company sold to Lehmann.
  - Response: Benko denies criminally relevant involvement; his lawyer says the later proposed artwork/villa exchange was not executed.
  - Outcome: By May 2026 the Holding estate’s approximately EUR46.4 million Ingbe dispute had ended in a confidential judicial settlement; its terms and merits were not disclosed.
- Attributed: By May 2026 Stapf reported EUR 8.7 million recovered and roughly EUR 160 million claims still pending, including EUR 9.2 million concerning TPA, about EUR 5 million against Alfred Gusenbauer and his company, EUR 396,000 against Karl Samstag and A&I, about EUR 74 million against Laura Privatstiftung, and EUR 11.7 million against Herkules Holding. BDO settled for EUR 1.4 million; the EUR 46.4 million Ingbe dispute ended in a confidential judicial settlement. [s-d174]
  - Qualification: Claim sums and recoveries are procedural snapshots. Confidential settlements do not disclose merits or all paid sums, and claims pending against Laura were interrupted by its insolvency.
  - Response: Herkules Holding disputed the EUR 11.7 million claim; terms of the Ingbe settlement were confidential.
  - Outcome: BDO reached a EUR 1.4 million settlement; Ingbe’s EUR 46.4 million dispute ended in a confidential settlement. Laura claims were lodged in its insolvency and Herkules contested its claim.

## Different figures and different later proposal

- Analysis: Stapf’s March 2025 reported avoidance claim was EUR 46.5 million, different from the EUR 46.3 million transaction price in the police account and the EUR 46.4 million dispute later reported as settled. None of these descriptions discloses the settlement proceeds. The later proposed exchange between INGBE and Laura involved 63% of the villa company and two paintings; Wess says that proposal was never executed. His defense addresses the later plan, rather than a blanket denial of the preceding August transfer. [s-d224] [s-d174] [s-d309]
- Attributed: In March 2025, administrator Christof Stapf reported avoidance suits exceeding EUR 312 million. Reported claims included EUR 46.5 million against INGBE Stiftung over Garda villas, EUR 56 million against Laura Privatstiftung, almost EUR 1.4 million against Alfred Gusenbauer, EUR 3.5 million against his consulting GmbH and EUR 396,000 against former advisory-board member Karl Samstag. [s-d224] [s-d174]
  - Qualification: These are disputed recovery claims, not awards. The administrator said advisory-board meetings and proof of services were absent and that Holding’s managing directors denied having received the claimed advice.
  - Outcome: By May 2026 the Holding estate’s approximately EUR46.4 million Ingbe dispute had ended in a confidential judicial settlement; its terms and merits were not disclosed. By May 2026 claims against Laura totalled approximately EUR74 million and were interrupted by its insolvency, with claims lodged in that proceeding. Herkules disputed its separate EUR11.7 million claim.
- Attributed: A retained police-report account says INGBE planned in October–November 2023 to transfer 63% of Villa Eden Gardone to Laura Privatstiftung for Picasso and Basquiat artworks valued together at EUR 29.41 million. INGBE’s board filed a suspicious-transaction report on the contract-signing date, 7 November 2023. In January 2024 Laura separately sold the Basquiat to INGBE for EUR 11.08 million, reportedly for anticipated liquidity needs. [s-d309]
  - Qualification: The proposed exchange and the later separate artwork sale were different events. The planned 63% villa transfer is not established as completed; Wess says the exchange was never executed.
  - Response: Benko’s lawyer Norbert Wess says the proposed exchange was never executed and Benko denies participating in a criminally relevant transaction.
