Linqto: structure, investor interests and proceedings

Dan Siciliano: leadership and outside capacities

Siciliano’s Linqto leadership and outside board roles are separately dated. Shareholder conflict allegations and the internal estate-claims inquiry have limited scopes.

1The Linqto appointment

analysisThe restructuring disclosure dates Siciliano’s CEO service and board appointment to January 2, 2025; Linqto publicly announced the leadership team March 14. He also signed for Parent in its Texas managing-member capacity. Signing for the corporate member is different from a personal ownership interest. The appointment and announcement establish their own dates, without proving subsequent continuation. 1 2 3

analysisThe one-year insider-payment schedule records $591,593.01 to Siciliano. That is a payment measure over its reporting period, not an allegation that every payment was improper. A March 25, 2026 registry aggregation separately lists him as CEO, CFO and California registered agent, and Ancheta as secretary. Those recorded offices at the snapshot date do not necessarily describe current operational duties. 4 5

2Outside experience and institutions

analysisBiographical records describe Siciliano’s LawLogix leadership during 2000–2015, a majority sale to PNC Riverarch in 2012 and the company’s sale to Hyland/Thoma Bravo in 2015. They also describe Stanford affiliations and Nikkl founding. These are organization-provided career accounts; the sale counterparties are not thereby Linqto business partners. 1 2

analysisThe November 2024 Federal Home Loan Bank of San Francisco filing records Siciliano’s reelection to a four-year board term beginning January 1, 2025. An October 2026 organizational page lists SVDX board service. AlphaTON Capital, later renamed Alpha Compute, announced his election as independent director and audit and governance committee chair February 10, 2026. Its biography identifies former Council of Federal Home Loan Banks and San Francisco bank chairmanships. These are separately dated institutional capacities; those organizations do not inherit Linqto allegations. 3 1 4

3Conflicts, inquiry and conditional compensation

analysisJiang, Nurani and Sarris alleged conflicts involving management’s Nikkl interests and a contemplated acquisition. Exploration did not establish a completed acquisition or misconduct. The committee rejected the claimed scheme to take customer assets, said management did not win plan-management bids and assigned reconciliation of nonvoting Nikkl claims to an independent wind-down fiduciary and oversight committee. 1 2 3 4 5

analysisKatten’s defined estate-claims inquiry supported proposed releases for Siciliano and other new 2025 officers and directors after finding no viable claims worthy of pursuit. This was a limited internal conclusion, not universal exoneration. Reed did not participate in the investigation and Kutler did not participate in the phase concerning new management. The management incentive depended on formation, employment and the fund’s specified 1.1 market-premium ratio and was capped; no payout is established. 6
