1The mortgage and cash mechanism
analysisThe receiver report describes Galaktikos as a trustee-owned warehouse securitisation vehicle formed in 2025. It acquired loans through a Neptune portfolio purchase or refinancing of other mortgage vehicles. MFS remained the legal mortgage holder while Galaktikos acquired the beneficial interests; borrower payments reached MFS before onward transfer to the vehicle’s cash arrangements. 1 2
- qualification
- Ocorian (UK) Limited is distinct from Ocorian Trustee (UK) Limited. Registered share control does not by itself identify every economic funder. The legal/beneficial ownership distinction and cash-manager role do not establish that Ocorian advanced the senior debt.
analysisSMBC’s London branch held senior notes with £120,413,342 outstanding before interest at appointment, and Interlend held £19,945,572 of mezzanine and subordinated debt. The senior recovery was uncertain and no junior recovery was anticipated. Ocorian’s corporate and security-trustee roles remain distinct from those creditor positions. 2 3
- qualification
- Mortgage counts and book values came from MFS records, and later sections identify disputed ownership and incomplete documentation. Senior recovery was uncertain; no return was expected for Interlend. Service providers were expected to be paid in full. These are the receivers’ estimates, not completed distributions. Interlend’s registered controller is evidenced separately from its lending role; its £19.9 million Galaktikos exposure is supplied by the receiver report.

2Defaults and competing loan records
analysisFollowing default and acceleration, the senior noteholder instructed the security agent to appoint administrative receivers on 23 March 2026. A master register listed 124 Galaktikos loans, while other documents suggested interests in up to 155. Several vehicles asserted interests in some of the same mortgages, prompting a cooperation protocol. The receivers postponed portfolio disposal until ownership could be established and lodged a claim in MFS’ administration for potential creditor losses. 1
- qualification
- Mortgage counts and book values came from MFS records, and later sections identify disputed ownership and incomplete documentation. The differing 124/155 loan counts and competing interests were unresolved; the protocol did not itself settle ownership.
- outcome
- Portfolio disposal remained deferred until mortgage ownership was determined; cash and borrower recoveries continued.
analysisThe November 2025 management accounts are an earlier snapshot than appointment-date debt. They recorded £86,402,972 in buy-to-let loans and £5,459,300 cash. These values should not be substituted for later portfolio or realisation figures. 1
- qualification
- The November accounts omit significant later funding and mortgage acquisitions and are not an appointment-date balance sheet.
