1MFS and the change in control

analysisPratibha Raja served as a director from 10 November 2006 until 16 February 2026. Her PSC interest of at least 75% ended on 5 July 2017, when control was notified for Paresh Raja. A May 2018 return allocated her 25% of ordinary shares; the September 2022 return showed 25,000 B shares, or 5% of the total. 1 2 3 4 5 6

qualification
The dates establish recorded PSC succession, not the terms of a share transfer or a family relationship. The retained 2021 statement records the same shareholdings. The April 2026 proposals also list 95% and 5% at appointment; later no-update filings do not independently expose all underlying rights. This is a historical shareholder snapshot and is not the ownership position throughout the later administration.

analysisA director-detail filing records her former surname Dewan. Separate records use Tiba Raja in identity-verification material. Her directorships include MFS BTL, MFS (UK), MFSUK.COM, MFSUK and Qatar Investment; each is a separate company rather than an alias of MFS. 7 8 9 10

qualification
The filing-list description supports the historical name; it does not itself describe the reason for the name change. The verification statement uses a different name from the PSC heading; Tiba Raja is preserved as a source-name variation, not a separately established person.

2Separate holdings and reported payments

analysisPSC records show her control of MFS (UK), MFSUK and Qatar Investment. The Qatar Investment name supplies no evidence of a connection to a sovereign investment fund. Berkeley Finch acted as an authorised corporate service provider for identity verification; that role differs from the firm’s audit engagement. 1 2 3

qualification
The verification statement uses a different name from the PSC heading; Tiba Raja is preserved as a source-name variation, not a separately established person. The name Qatar Investment does not establish a relationship with any Qatari sovereign fund; the retained controller is Pratibha Raja.

analysisMedia accounts of the recovery allegations include transfers to Pratibha Raja. Paresh Raja’s reported defense describes £3.2 million paid to her as repayment of a director’s loan account, salary for marketing work through 2023 and dividends. The retained record does not resolve the contested characterization or supply an independent response from her to each allegation. 4 5

qualification
The report describes allegations by litigants, not findings of liability against Raja or his wife. This is an attributed account in the retained reporting, with the stated procedural and source limits; it is not a determination of the underlying contested allegation.
response
Raja denies the allegations. Barclays said it acted in accordance with legal and regulatory obligations and alleged the fraud was caused by MFS and Raja. Raja’s account is his contested defence.
