1SIGNA Holding GmbH: the registered company

documentedSIGNA Holding GmbH is registered in Austria as FN 191343m, a limited liability company seated in Innsbruck, registered on 1 February 2000. Its registered address is Maria-Theresien-Straße 31, 6020 Innsbruck; registered share capital is EUR74,568,072.28 and its stated business is holding interests in other companies. 1

documentedThe retained official register lists Marcus Mühlberger and Christoph Stadlhuber as managing directors of SIGNA Holding GmbH, each authorised to represent it since 4 April 2013. Multiple directors generally represent jointly, or one director together with a procurist; the general meeting may grant sole representation. 1

documentedThe retained official register lists Christof Stapf and Michael Neuhauser in SIGNA Holding’s insolvency administration from 25 January 2024, with insolvency publication entries in December 2023, February 2024 and April 2024 and an asset-takeover entry on 30 April 2024. 1

qualification
The separate court orders establish Neuhauser as deputy, despite the registry’s shared administrator category; publication-entry dates differ from order/effective dates.

attributedA retained insolvency report stated that SIGNA Holding directly held varying interests in 36 Austrian corporations and that about 390 Austrian companies, largely project companies, were connected with Signa. It described property platforms Signa Prime Selection, Signa Development Selection, Signa RFR US Selection and Signa Luxury Hotels, and retail platforms Signa Premium, Signa Department Store Group and Signa Food & Restaurants. 2

qualification
The source expressly said the extent of direct or indirect influence was not yet finally assessable; membership of a platform does not establish a direct equity percentage.

attributedA retained corporate-register reproduction records SIGNA Holding’s earlier name Immofina Holding GmbH from 31 January 2000 and the SIGNA Holding GmbH name from 20 February 2006. 3

qualification
The former-name entry is dated 31 January 2000; the official registration date is 1 February 2000. These are separate register dates.

attributedThe retained ownership register reproduction lists SIGNA Holding’s wholly owned KidINVEST Projekt Beteiligung, LeiKi ImmoTrading Beteiligung, SDS Holding, SIGNA AT 2019 Drei, SIGNA AT 2020 Vier, SIGNA Foxtrot, SIGNA Funds Holding, SIGNA Innovations Holding, SIGNA Medien, SIGNA Mitarbeiterbeteiligungs, SIGNA Motion, SIGNA Prime 2019 Zwei AT, SIGNA Retail Holding and SIGNA-RECAP Holding. It also lists 10.1% in SIGNA Development Selection Beteiligung and SIGNA Prime Beteiligung, 5.1% in Forum Salzburg Immobilien, 3.16% in SIGNA Retail and partnership interests in SDS Holding KG, SIGNA 2019 Zwei KG, SIGNA AT 2020 Vier KG, SIGNA Bravo KG and SIGNA Prime 2019 Acht AT KG. 3

qualification
Direct company holdings differ from partnership interests; no percentages are supplied for the latter. The retained list marks SDS Holding, AT2019 Drei, AT2020 Vier, Innovations, Motion and RECAP in liquidation.

attributedVienna Commercial Court opened SIGNA Holding restructuring on 29 November 2023 in case 6 S 193/23h. The administrator’s retained announcement identifies the Innsbruck registered office and Vienna branch at Freyung 3, and appoints Christof Stapf restructuring administrator and Michael Neuhauser deputy. 4

qualification
The administrator’s announcement reproduces an order; the official court notice independently distinguishes opening order on 29 November from effects on 30 November.

documentedThe official insolvency record identifies BDO Assurance GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft as Holding’s annual auditor. It appointed Susi Pariasek on 30 April 2024 and Raoul Wagner from 7 May as special administrator to examine and pursue auditor claims; the 27 May mandate also concerned avoidance of audit-fee payments. 5

qualification
Appointment to investigate/pursue claims is a procedural step and is not a judgment establishing auditor liability.

2Haselsteiner foundation and ZMH: the recorded 15% split

documentedThe retained official register lists nine shareholders of SIGNA Holding GmbH: Familie Benko Privatstiftung, Ernst Tanner, Fressnapf Luxembourg GmbH, Supraholding GmbH & Co KG, Haselsteiner Familien-Privatstiftung, SUPRA Assets GmbH, Eugster/Frismag AG, AE Familienholding AG and ZMH GmbH. This page provides registration dates but no percentages. 1

qualification
Registration-entry dates are not necessarily the economic acquisition dates. The KG shareholder listing is not reconciled automatically with the KG’s deletion on 7 October 2026.

attributedA retained insolvency report gives the following SIGNA Holding stakes at its November 2023 filing: Supraholding GmbH & Co KG 54.94%, Haselsteiner Familien-Privatstiftung 15.00%, Eugster/Frismag AG 10.24%, Familie Benko Privatstiftung 10.10%, Fressnapf Luxembourg GmbH 4.46%, Ernst Tanner 3.00%, AE Familienholding AG 1.26% and SUPRA Assets GmbH 1.00%. 2

qualification
This is the reported ownership at the 2023 filing, not the 2026 split of the Haselsteiner-related 15% into 9% and 6%.

documentedZMH GmbH, Austrian FN 91512b, was registered on 20 April 1994 in Spittal an der Drau with EUR2.9m capital. Its official register lists Christian Harder as director since 24 September 2010, Kerstin Gelbmann since 6 November 2023, and Haselsteiner Familien-Privatstiftung as sole shareholder entered on 22 December 2020. 3

attributedA retained corporate-register reproduction dated from 20 April 2026 lists SIGNA Holding stakes of Supraholding GmbH & Co KG 54.94%, Eugster/Frismag AG 10.24%, Familie Benko Privatstiftung 10.1%, Haselsteiner Familien-Privatstiftung 9%, ZMH GmbH 6%, Fressnapf Luxembourg GmbH 4.46%, Ernst Tanner 3%, AE Familienholding AG 1.26% and SUPRA Assets GmbH 1%. 4

qualification
This is the retained register-reproduction snapshot from April 2026. Supraholding KG’s later deletion on 7 October 2026 limits treating that stake as currently held by the KG.

3Signa financial figures: entity, period and procedural scope

attributedAt its November 2023 insolvency filing, SIGNA Holding reported approximately EUR5.26bn of liabilities at liquidation values, including about EUR252m secured; assets of EUR2.78bn at book value and EUR314.3m at liquidation value; 273 creditors and 42 employees. 1

qualification
These are company estimates requiring insolvency-law examination, not admitted claims or a consolidated group balance sheet.

attributedFamilie Benko Privatstiftung filed for bankruptcy at Innsbruck Regional Court in March 2024, reporting EUR21.54m of assets and EUR854.19m of liabilities, excluding subordinated claims. Herbert Matzunski was appointed administrator. 2 3

qualification
Approximately EUR700m of nominal liabilities concerned insolvency-triggered options, which the board said might be substantially lower. Approximately EUR1bn of disputed arbitration claims were additional. Nearly all EUR21.5m assets were intercompany receivables; the board estimated liquidation value around EUR2m and reported no real estate.
outcome
The insolvency effects commenced on 30 March 2024; the official registry later lists Matzunski and Christian Mair from 29 March.

attributedA retained investigation describes Ameria Invest AG as the Arduini family’s Liechtenstein investment company at Austraße 15, Triesen, and reports assets around CHF760m and debts around CHF630m at 31 December 2020. It identifies Riccardo Arduini and Julia Dora Koranyi Arduini as the family investors. 4

qualification
The amounts are Ameria’s reported 2020 balance sheet, in Swiss francs; they are not Holding figures or current financials.

attributedA retained report on Holding’s 2022 accounts gives a loss slightly above EUR500m and liabilities rising from EUR634m to EUR1.996bn. It states the 2019–2021 accounts were filed only in late September 2023 and the 2022 accounts were then not publicly filed. 4

qualification
These are company-year figures, distinct from group liabilities, insolvency claims and asset liquidation values. The historical “not filed” statement must be read with the September 2023 catch-up filings.

attributedA retained November 2018 TPA memorandum, quoted in an investigative report, aimed to avoid Holding consolidating Signa Prime Selection, Signa Development Selection and SIGNA Retail by ensuring Holding never obtained more than 50% of their voting rights. The report also characterised Benko as informally dominant despite being formally an adviser. 4 5

qualification
A recommendation to avoid more than 50% votes is not a measured ownership interest and does not prove the structure’s legal consolidation treatment or implementation.
response
Benko’s defense rejects the sole-ruler description and points to his advisory contract.

attributedA retained financial directory identifies Supraholding GmbH as a general-partner company, VAT ID ATU76052423. Its 31 December 2024 figures show total assets EUR191.68, equity negative EUR2,995.42 and fixed assets zero; annual assets from 2020–2023 ranged from EUR34,074.43 to EUR8,162.81. 6

qualification
The financial figures concern the general-partner GmbH, not the similarly named KG which held the large Holding stake. Negative equity is not by itself proof of misconduct.

attributedA retained April 2024 report describes René and Ingeborg Benko founding Familie Benko Privatstiftung in 2001, its bankruptcy taking effect on 30 March 2024, reported liabilities EUR854m and two arbitration proceedings with total disputed value around EUR1bn. 7 3

qualification
The nominal EUR854m includes approximately EUR700m of contingent options which the board said might fall substantially lower; around EUR1bn arbitrations are additional disputed values, not automatically admitted debt.

attributedA retained investigation quotes June 2019 internal FMA correspondence alleging RBI exceeded internal limits for Benko, in places more than ninefold. It reports approximately EUR2bn Signa group exposure to the Raiffeisen group in spring 2023 and an August 2023 ECB view that lenders should partly write down or further provision Signa loans. 4

qualification
Internal risk-limit claims are reported; approximately EUR2bn refers to Signa-group/Raiffeisen-group exposure, not Holding-to-RBI alone. A supervisory provisioning assessment is not a finding of fraud.

attributedA retained report describes Signa agreeing in September 2023 to contribute EUR20m to Kika/Leiner insolvency creditors after a special administrator’s examination, in four EUR5m instalments due through June 2024. 4

qualification
The reported agreement is a creditor contribution/settlement arrangement, not an admission of every allegation or proof all instalments were paid.
outcome
The report specifies a payment schedule through June 2024 but does not establish completion of all four payments.

attributedA retained April 2024 insolvency comparison gives Holding claims lodged of approximately EUR7.95bn, admitted EUR322m, and company-estimated debt EUR5bn; Prime claims EUR13.1bn, admitted EUR5.85bn and company debt EUR4.53bn; Development claims around EUR2.3bn, admitted EUR1.47bn. 7

qualification
Lodged, admitted and company-estimated liabilities use different procedural categories and must not be summed as one debt total.

attributedA retained report records the Holding administrator selling its Chrysler Building interests in March 2025, with EUR5m reaching the estate. It describes Signa and RFR’s 2019 purchase at roughly EUR150m. 7

qualification
The EUR5m is reported net estate proceeds, not gross sale price. Another retained history gives the 2019 purchase as USD151m; preserve the currency discrepancy.

attributedA retained report gives Signa Prime Selection’s loss at the end of 2022 as EUR1.2bn. 4

qualification
This EUR1.2bn loss conflicts with another retained account of EUR90m net profit for Prime in 2022; without matching account scope neither replaces the other.

attributedA retained report records Signa selling the Kika/Leiner operating business to Hermann Wieser for EUR1 and its property to Supernova. The new owner filed for insolvency shortly after; 23 of 40 stores closed and the Austrian state, described as principal creditor, faced losses in the hundreds of millions. 4

qualification
The operating-business sale and property sale were separate transactions; subsequent insolvency does not establish the seller’s liability for every creditor loss.

attributedA retained November 2023 report estimated Signa group debt above EUR10bn and said the absence of consolidated group accounts prevented a precise group-wide total. 4

qualification
The estimate is group-wide and approximate; it is not Holding’s company debt or a total constructed from insolvency claims.

attributedA retained secondary account attributes to Prime’s administrator the allegation that operating results excluding revaluation gains had been negative every year since 2014, with negative working capital and free cash flow. It describes a claim against Ingbe alleging the model depended on revaluations and economically unexplained reorganisations. 8

qualification
These are administrator/litigation allegations about operating cash performance; they do not equate revaluation-accounting profit with fraud.

attributedA retained secondary account reports Prime writing down its 2022 property portfolio by EUR1.16bn, about 6% of EUR20.4bn, while reporting EUR90m net profit. 8

qualification
The EUR90m profit account conflicts with the retained EUR1.2bn loss report; the source does not resolve standalone/consolidated scope. The reported reserve of around EUR1bn and long-term fixed rates accompany this account.

4Familie Benko Privatstiftung: assets and governance

attributedThe Familie Benko Privatstiftung’s insolvency application reported stakes of 100% in ARP Seventeen GmbH, Familie Benko 2017 Zwei GmbH and Familie Benko 2018 Fünf GmbH; 32.3645% in Supraholding GmbH; 25% in SIGNA RFR International Projektbeteiligungs GmbH; and 10.1% in SIGNA Holding GmbH. 1

qualification
These are holdings reported in the foundation’s filing, not a consolidated measure of group control.

attributedA retained insolvency report names Ingeborg Benko, René Benko, Karin Fuhrmann, Markus Mitterrutzner and Marcus Mühlberger as the Familie Benko Privatstiftung’s economic owners. 1

qualification
The report uses the economic-owner category; this is not proof that each listed board member beneficially owns or personally controls all foundation assets.

documentedENTRA drei GmbH & Co KG, Austrian FN 430486v, is a limited partnership registered on 6 March 2015 in Innsbruck for holding management. ARP Seventeen GmbH is general partner, entered on 13 March 2015; Familie Benko Privatstiftung is limited partner, entered on 28 March 2015. Insolvency administrators Stephan Kasseroler and Andrea Födisch are entered from 29 August and 1 September 2025 respectively. 2

documentedFamilie Benko Privatstiftung, Austrian FN 209416s, was registered on 27 June 2001 with ATS1m foundation assets and the purpose of supporting beneficiaries. The official register lists the same Innsbruck address as Holding; board members Karin Fuhrmann since 4 August 2011, Marcus Mühlberger since 29 October 2014 and Roland Kometer since 1 December 2025; insolvency administrators Herbert Matzunski and Christian Mair from 29 March 2024. 3

documentedARP Seventeen GmbH, Austrian FN 429511i, was registered on 21 February 2015 in Innsbruck with EUR35,000 capital for holding management. The official register lists Marcus Mühlberger as director since 12 March 2015 and Familie Benko Privatstiftung as sole shareholder entered on 26 March 2015; Stephan Kasseroler and Andrea Födisch are insolvency administrators. 4

attributedA retained register reproduction identifies Familie Benko Privatstiftung as formerly Rene Benko Privatstiftung, registered on 27 June 2001 and renamed on 6 September 2013; it gives LEI 529900OXOQVW4XAAQS96 and EUID ATBRA.209416-000. 5

qualification
The identifiers are reproduced in a secondary register record; no direct issuer record is retained.

attributedA reported interim financial-investigation report to WKStA alleged René Benko alone exercised de facto control of Familie Benko Privatstiftung and Liechtenstein’s Ingbe Stiftung, dominating their organs and issuing instructions over years. 6

qualification
These are reported investigative suspicions, not a criminal conviction or a direct inspection of the complete interim report.
response
Norbert Wess rejects the allegations as speculation: founders commonly make proposals, while foundation boards independently examine them and decide whether they make sense.
outcome
These witnesses do not establish a final merits decision on the foundation-control allegation.

attributedIn a reported interim investigation, financial investigators argued that the foundation assets and income should be attributed to René Benko personally for tax purposes because of alleged de facto control, and suspected a sham construction. The report discussed tax fraud exceeding EUR500,000 as a penalty threshold. 6

qualification
EUR500,000 is the stated statutory penalty threshold discussed by the report, not a quantified tax loss established in this case.
response
Norbert Wess says founder proposals cannot establish a sham if foundation boards independently review and approve each transaction.
outcome
These witnesses do not establish a final merits decision on the tax/sham allegation.

attributedA retained corporate-role profile dated from 14 August 2026 lists Markus Mitterrutzner as managing director of Masterpiece Bike & Sport GmbH and as sole shareholder and liquidator of Masterpiece, Communication & Events GmbH. Separate register history connects the latter company to Masterpiece Beteiligungs, where Mitterrutzner and Marcus Mühlberger were jointly named as departing managers in February 2025. 7 8

qualification
The matching named companies, Innsbruck corporate context, Signa management history and Mühlberger co-directorship support the same-person reconciliation. The profile itself cautions that its name-and-birth-date methodology is not unambiguous; the snapshot date is not proof of when each mandate began. No personal identifier is inferred.

5Ameria Invest AG: family capital and separate loans

documentedSUPRA Assets GmbH, Austrian FN 547251g, was registered on 6 January 2021 with EUR75,000 share capital at Kaiser-Josef-Straße 13, Innsbruck. Its official register lists Marcus Mühlberger as managing director since registration and Ameria Invest AG as sole shareholder entered on 21 September 2024. 1

attributedIn reported testimony, Riccardo Arduini described Ameria Invest loans of EUR250m to SIGNA Holding and EUR50m to Signa Prime Assets. The EUR250m loan was made in 2022 and extended three times, finally until 31 May 2024. He said Benko linked the need for funds primarily to Signa Prime’s Elbtower project. 2

qualification
This is Arduini’s reported testimony; the intended Elbtower use and promised repayment are his account of Benko’s explanation, not traced use of proceeds.

attributedIn reported testimony, Riccardo Arduini said René Benko sought a EUR350m capital increase from core investors in May 2023 and promised overdue dividend payments. Arduini’s family declined new money until Ameria’s EUR300m of existing loans were repaid; conversion of existing claims into equity was then proposed. 2

qualification
Investor negotiations support reported influence; they do not by themselves determine all legal management or control rights.

attributedA retained investigation citing notarial records reports transfers into Holding capital through Ameria’s Austrian intermediary of approximately EUR83m in July 2018, EUR147m in August 2019 and EUR127m in August 2020. 3

qualification
The unnamed Austrian intermediary cannot be assumed to be a specific subsidiary beyond what the cited notarial-account passage supports.

attributedA retained investigation reports Ameria taking over Falcon Private Bank’s Holding stake in 2016 after earlier Signa retail participation, and identifies Falcon as Ameria’s house bank. 3

qualification
A stake transfer and house-bank relationship do not cause Ameria or Signa to inherit Falcon’s misconduct allegations.

6Supraholding GmbH: general partner and reported successor

documentedSupraholding GmbH, Austrian FN 542080b, was registered on 14 October 2020 with EUR35,000 capital, seated at Kaiser-Josef-Straße 13, Innsbruck, for participation holdings and property. Its official register lists Marcus Mühlberger as director and shareholders Familie Benko Privatstiftung and ENTRA drei GmbH & Co KG entered on 3 February 2021, and Ameria Invest AG entered on 21 December 2023. 1

attributedA retained corporate-register reproduction records Supraholding GmbH’s former name SIGNA AT 2020 Zwei GmbH from 13 October 2020, renamed Supraholding GmbH on 17 February 2021. 2

qualification
The name-history date 13 October 2020 is distinct from the official registration date 14 October 2020.

analysisA retained corporate-register reproduction dated from 6 October 2026 lists Supraholding GmbH owned by Ameria Invest AG 38.52%, Familie Benko Privatstiftung 32.36% and ENTRA drei GmbH & Co KG 29.11%, with contributions EUR13,482.44, EUR11,327.56 and EUR10,190 respectively. The foundation’s own percentage plus ENTRA’s equals 61.47%; its ENTRA connection is through direct limited partnership and wholly owned general partner ARP Seventeen. 2

qualification
61.47% is the sum of two displayed interests (32.36% + 29.11%), not proof of equivalent voting rights or beneficial economic ownership; limited-partner and general-partner capacities remain separate.

7Supraholding KG: the historical Holding shareholder

analysisThe official registry history records an asset-takeover entry for Supraholding GmbH on 7 October 2026, the date on which Supraholding GmbH & Co KG was deleted. 1

qualification
Matching registry dates alone do not prove the content of the takeover or transfer of the KG’s Holding interest.

attributedA retained corporate-register reproduction records deletion of Supraholding GmbH & Co KG on 7 October 2026 with a takeover by Supraholding GmbH. 2

qualification
The takeover is reported in a secondary registry representation; official pages establish deletion and an asset-takeover entry but do not disclose the complete transfer terms.

attributedA retained corporate-register reproduction dated from 20 September 2024 lists Supraholding KG limited-partner contributions of Ameria EUR1,926.06, ENTRA EUR1,455.72 and Familie Benko Privatstiftung EUR1,618.22; Supraholding GmbH is general partner. It lists the KG’s SIGNA Holding stake at 54.94%, contribution EUR40,965,934.94. 3

qualification
The list reflects historical KG roles and capital contributions; the KG was deleted on 7 October 2026. Contribution proportions alone do not determine voting arrangements.

attributedA retained January 2024 investigation alleged Ameria Invest’s participation was held through a fiduciary arrangement involving foundation-owned ARP Seventeen; a 38.5% Supraholding KG interest was described as yielding over 20% indirect exposure to Holding. 4

qualification
The fiduciary arrangement is an investigative account and does not establish ownership of ARP Seventeen itself by Ameria. The registered partner changes in January 2024 are separate later evidence.

OG. It also lists managing director of Signa Anlegerverwaltungs GmbH. It also lists managing director of Signa Management GmbH. It also lists liquidator of SDS M2 2026 GmbH. 1

qualification
The profile’s “current since” dates identify displayed snapshots, not necessarily the start of every individual mandate. Shared offices do not imply shared responsibility for allegations.

9Holding and the Benko foundation: capital versus control

attributedA December 2023 report gave Familie Benko Privatstiftung 10% directly in Holding and 74% in a structure described as Supra Holding, itself said to hold 56% of Holding. 1

qualification
“Supra Holding” is not legally disambiguated in that report. Its 74%/56% figures conflict with later precise registry accounts and should not populate current legal ownership edges.

attributedA retained secondary biography gives an undated historic ownership account of Familie Benko Privatstiftung 85%, Ernst Tanner 10% and Torsten Toeller 5%, with Toeller’s participation from 2017. It dates George Economou’s investment from 2009 until 2015. 2

qualification
The percentages are an undated earlier account and differ materially from 2023/2026 ownership records. They cannot be published as current ownership or dated to 2017 merely because Toeller’s entry is dated.

attributedA retained secondary account reports that Signa owners, including Familie Benko Privatstiftung, received EUR450m in dividends through Luxembourg company Galeria Properties close to receipt of the final WSF state-support tranche in early 2022. 2

qualification
Timing of dividends and state support does not prove that state-support proceeds funded the distribution or that Holding directly paid it. The exact legal distributing company is not identified by this secondary account.

attributedA retained report quoting a 2022 ownership investigation argued Benko’s foundation no longer held a capital majority when external investors were counted but retained decisive voting rights. 3

qualification
Reported decisive voting rights differ from an economic capital majority; the underlying complete voting arrangement is not reproduced.

attributedA November 2022 investigation described an indirect 21.55% Holding interest behind the Koranyi-Arduini family and Supraholding KG’s 56% stake. It calculated the Benko foundation’s economic interest as 34.39% indirectly plus 10.1% directly, or 44.49%, while reporting Benko’s claim that the foundation controlled two thirds of votes and could not be outvoted; Haselsteiner was said to hold 15%. 4

qualification
The report contrasts attributed economic ownership and Benko’s voting-control explanation. Its 56% and computed 44.49% are historical source figures, not substitutes for precise later register percentages.

10SIGNA Holding: ownership, insolvency and contested control

attributedA retained secondary account reports suspicion that Benko induced Holding shareholders to provide new capital while representing funds routed through several companies as his foundation’s contribution, and concealed alleged effective power and economic entitlement in Laura Privatstiftung in his personal insolvency. 1 2

qualification
The alleged circular contribution and concealed foundation position are separate allegations; personal insolvency status does not establish them.
response
Benko disputes the allegation that other investors’ funds were represented as his own contribution. Wess rejects sole-ruler claims and says a concentration of all power in one person would be impossible in an organisation of Signa’s size.

attributedA retained secondary account cites documents and a former chief controller alleging Benko remained operationally involved after his March 2024 bankruptcy despite lacking formal office, including effective influence over foundations. 1 2

qualification
The account attributes operational-control characterisations to documents and witnesses; they are disputed by the defense.
response
Wess rejects the sole-ruler description and maintains that Benko acted under his advisory contract.

documentedThe official insolvency notice announces opening on 29 November 2023 with effects from 30 November, claims deadline 15 January 2024, debtor self-administration, Stapf administrator and Neuhauser deputy, a proposed 30% plan payable within two years, and main proceedings under the EU Insolvency Regulation. 3

qualification
The 30% proposal was withdrawn in April 2024; it is not a promised current recovery rate.
outcome
The restructuring plan was withdrawn and bankruptcy classification entered on 11 April 2024.

documentedThe official insolvency record’s 20 November 2025 order permitted Holding to continue operations for liquidation until 28 November 2026. Earlier orders closed Vienna/Innsbruck office and management activities on 29 April 2024 and Innsbruck accounting/back-office activities on 30 September 2024. 3

11Christoph Stadlhuber: entry, mandates and departure account

attributedA June 2024 retained report describes Christoph Stadlhuber announcing departure from the Signa group early that month after thirteen years in Holding management and becoming an independent property consultant. 1

qualification
The announcement concerns departure from the group. Official retained records still list Stadlhuber as Holding managing director at the evidence cutoff.

attributedA retained investigation reports Stadlhuber, still BIG chief in 2010, discussing Signa projects and future employment with Benko, who was then Holding director. It cites internal exchanges and a June 2010 draft offer of EUR300,000 annual salary, bonuses and a company car; Stadlhuber joined Signa on 15 May 2011. 1

qualification
The internal-information exchanges and offer are allegations from retained investigative reporting, not a judicial finding of improper disclosure or corruption.

attributedA retained investigation quotes a 17 December 2021 email from Signa’s head of tax to senior managers including Stadlhuber, setting out a process for companies to pay directors’ registry-filing fines and account for them in payroll and bookkeeping with tax-adviser involvement. 2

qualification
The email describes the process for company payment/accounting of fines; this is not an independent legal finding about every underlying filing or tax treatment.

12Riccardo Arduini: investor testimony and Ameria

attributedA retained report describes Julia Dora Koranyi Arduini as Riccardo Arduini’s wife and a material family investor in Signa through Ameria Invest. 1

qualification
The retained account supports the family and investment-vehicle connection; it does not establish independent personal control rights over every related company.

13Signa lenders: group exposure versus estate claims

attributedNovember 2023 reporting put Raiffeisen Bank International's Signa exposure at about EUR 750 million, Raiffeisenlandesbank Niederösterreich-Wien's at EUR 280 million and Raiffeisen Landesbank Oberösterreich's at EUR 150 million. RBI had separately disclosed its largest real-estate exposure as EUR 755 million without identifying the borrower in this passage. 1

qualification
The named bank exposures are attributed estimates. RBI’s EUR 755 million statement is not itself a named confirmation of a Signa borrower, and different Raiffeisen banks remain distinct.

attributedNovember 2023 reporting estimated Signa-group exposure of EUR 600 million at Bank Austria, EUR 40–50 million at Erste Group and EUR 200 million at Hypo Vorarlberg; the latter was majority-owned by the province of Vorarlberg. 1

qualification
These are reported group exposures at November 2023, not adjudicated claims against the Holding and not verified residual balances at the cutoff.

attributedReporting of an investment-bank study put combined SIGNA Prime and Development debt at EUR 13 billion at end-2022, including EUR 7.7 billion in loans, over half at variable rates; Prime was seeking urgently needed liquidity in November 2023. 1

qualification
The combined debt is a reported end-2022 study figure for Prime and Development, distinct from Holding’s own balance sheet and from filed or admitted insolvency claims.

attributedAt the 29 January 2024 claims hearing, 302 creditors had filed about EUR 8.613 billion against SIGNA Holding. Administrator Christof Stapf had provisionally admitted only EUR 80.3 million because examination was incomplete. About EUR 5.1 billion concerned guarantees and EUR 1.6 billion intercompany obligations. 2

qualification
Filed claims were not all admitted liabilities. The EUR 80.3 million recognition was provisional during incomplete examination; later claim totals supersede that snapshot without erasing it.

attributedThe Holding's fifth administrator-report account in September 2025 describes over EUR 315 million avoidance claims filed in court, EUR 3.73 million fees, EUR 3.70 million recovered out of court, and about EUR 423 million avoidance claims admitted in other Signa estates. Sales of movable assets, brands and domains generated about EUR 10 million; management-liability settlements with insurers were being sought. 3

qualification
Avoidance claims asserted or admitted elsewhere are not cash recovered; asset-sale proceeds are different from litigation recoveries and may overlap broader reported estate totals.

14Laura Privatstiftung: arbitration, insolvency and asset sales

attributedA retained account identifies Laura Privatstiftung as owner of Benko's Igls villa and says that this ownership prevented attachment of its underground pool for a time; the foundation filed for insolvency in March 2026. 1

qualification
The ownership and attachment account is secondary; temporary protection from attachment is not a finding of illegal concealment.

attributedA retained account identifies Laura Privatstiftung as founder of Liechtenstein's Arual Stiftung, which held Villa Ansaldi on Lake Garda through intermediate companies; reporting traces Arual to Swiss Vorstadt Holding AG and Luxembourg's Landgraf SA, the villa's lessor to SIGNA Holding. 1 2

qualification
Foundation ownership is indirect; Laura’s founding role does not make it direct legal owner of the villa or prove Benko personally owned foundation assets.

attributedMarch 2025 reporting gives Herkules Holding's shareholders as Laura Privatstiftung 42%, Ameria Invest 34.9%, Fressnapf Luxembourg 10%, AE Familienholding 10% and Ernst Tanner 3%. Herkules Holding was sole owner of Herkules Finance Holding, renamed from Laura Finance Holding in February 2025. The same March 2025 account reports that approximately EUR12m of Herkules Finance Holding’s EUR341m liabilities were owed to its parent and EUR6.5m of receivables were of uncertain recoverability. 3 4 5

qualification
The rounded percentages total 99.9%; other reporting gives Laura 42.1%. Herkules Holding is the Innsbruck successor name of Laura Holding, not a similarly named Vienna asset-management company.

attributedA May 2026 account cites earlier reported Laura Privatstiftung asset values of about EUR 750 million in summer 2023 and EUR 250 million in 2024. The administrator did not provide a current definitive figure. Assets were described as held indirectly through subsidiaries and subsubsidiaries, including properties in Austria, Germany and Italy and startup investments. 6

qualification
The original passage expressly describes those subsidiary/subsubsidiary companies as not insolvent. It does not say the foundation directly owns each villa or that the reported asset values are realised proceeds or cash available to creditors.

attributedRetained June 2024 reporting describes a Guernsey worldwide freezing order over proceeds from the sale of the 62-metre yacht RoMa, held by a Laura Privatstiftung subsidiary. The order barred dealing with the sale proceeds until further order in the context of the Mubadala dispute. 7

qualification
The reported EUR 25 million price and Paul van Zuydam as buyer were described as hearsay. The freezing order is an interim asset-preservation measure, not a judgment establishing every underlying claim.

documentedLaura Heli GmbH, FN 596382h, was registered on 18 January 2023 for aircraft ownership and air transport with EUR 35,000 capital. Laura Privatstiftung is listed as its sole shareholder from 13 October 2023. The official register records liquidation in October 2025 and Marcus Mühlberger as liquidator from 24 September 2025, with a creditor notice published on 24 October. 8

documentedLaura Privatstiftung is the sole shareholder listed for Laura Demeter GmbH from 11 March 2011. The official record gives Ralph Hartmut Gotta’s representation date as 21 July 2025 and records an annual-accounts filing on 3 October 2026. 9

qualification
The retained record contains no insolvency entry for Laura Demeter; its ownership by an insolvent foundation does not automatically make the company insolvent.

documentedLaura 2017 Drei GmbH, FN 476054f, is a property-development company registered in Innsbruck on 17 August 2017 with EUR 35,000 capital. Its official register lists SIGNA Prime Holding GmbH, FN 348406m, as sole shareholder from 20 December 2017, insolvency in April 2025 and liquidation in September 2026, with Manuel Pirolt as liquidator from 18 September 2026. 10 11

qualification
Despite its Laura name, the recorded owner is Prime Holding rather than Laura Privatstiftung. It must not be assigned to the foundation solely by name.

15Benko’s personal-insolvency cases: charges and outcomes

attributedTrento prosecutors sought trial of 37 people, including René Benko and Heinz Peter Hager, alleging an association to obtain contracts and building approvals improperly. A preliminary hearing was scheduled for 23 October 2026. Retained accounts also describe separate Munich investigations from November 2023 and Liechtenstein investigations from April 2024. 1 2

qualification
The Trento trial request and accusations are not convictions. The 23 October hearing was still prospective at the 10 October 2026 evidence cutoff; Munich and Liechtenstein investigations are separate proceedings.

attributedWKStA announced an investigation into suspected attempted serious litigation fraud: a relative allegedly tried to resist return of Benko's January 2023 EUR 2 million payment by describing it as maintenance rather than a gift and producing an inaccurate memorandum; Benko was suspected of assisting through alleged false testimony. 3

qualification
This is an announced suspicion and continuing investigation, not an established falsehood or a completed criminal trial.
outcome
The investigation remained an announced suspicion in the June 2026 release.

16SIGNA Prime: what the 2019 accounts actually describe

documentedPrime's 2019 accounts describe irrevocable unconditional guarantees of SIGNA Prime CM 2017 GmbH bonds: ISIN AT 0000 A 1 X 101, originally EUR 175 million, raised to EUR 315 million by 2019; AT 0000 A 21 PP 7, EUR 50 million; and AT 0000 A 25 AV 8, EUR 20 million plus EUR 19.5 million subscribed in 2019. Prime also guaranteed SIGNA Prime CM 2019 S.C.S.'s EUR 100 million bond. SIGNA Prime Capital Market's separate EUR 150 million bond matured on 10 October 2022 under its original terms, with EUR 9 million repaid in 2018. 1

qualification
The disclosed maturities and amounts are historical contract terms; the accounts do not prove later repayment. Prime’s Capital Market bond is distinct from the explicitly guaranteed CM 2017 and CM 2019 bonds.

documentedPrime's 2019 notes report a September EUR 500 million capital increase, mostly placed with existing shareholders, and identify SIGNA Prime Selection AG as FN 353435 h, registered in Innsbruck with a Vienna branch. 1

documentedPrime's 2019 management report describes outsourced insurance, office, financing-support and IT services from other SIGNA companies, and leases to the Galeria Karstadt-Kaufhof group, KaDeWe group and Am Hof 2 hotel operator. Prime stated that as landlord it was not involved in tenant operations. 1

documentedPrime's 2019 management report describes two strategies: long-term holdings and new development investments. It lists 24 long-term properties valued at EUR 7 billion, about EUR 6.7 billion planned new investment and 33 further Kaufhof properties. The consolidation basis covered 250 entities, including 21 equity-accounted entities; management described Prime as autonomous and intrabrand services as purchased on arm's-length terms. 1

qualification
Management’s autonomous-operation and arm’s-length statements are its contemporaneous account, not an independent conclusion. The 250 consolidation entities and 298 majority-held companies use different measures.

documentedPrime's 2019 management report states direct or indirect interests of at least 50% in 298 companies, a EUR 500 million capital increase issuing 7,142,858 shares, EUR 199.5 million bond subscriptions and EUR 277 million profit-participation capital raised. Net income was EUR 909.138 million, principally from valuation and equity-accounted gains, against EUR 309.840 million revenue. 1

documentedPrime's end-2019 list identifies 50% equity-accounted group interests in Laura Prime Co-Invest and three Laura Warenhaus Premium Immobilien vehicles, alongside Berlin Kurfürstendamm, Tauentzienstraße, Hermannplatz, Hamburg Jungfernstieg and Munich Bahnhofplatz joint-venture vehicles. Names alone do not establish Laura Privatstiftung as the other shareholder. 1

qualification
The word Laura in the vehicles’ names does not establish ownership by Laura Privatstiftung; only Prime’s 50% group interest is directly shown.

documentedPrime's 2019 cash-flow statement shows dividends paid EUR 148.580 million, versus EUR 122.123 million in 2018, capital-increase proceeds EUR 499.130 million, new long-term borrowings EUR 2,771.218 million, repayments EUR 2,249.312 million and interest paid EUR 289.328 million. 1

17Timo Herzberg: Prime leadership, Havit and later mandates

attributedRegister summaries identify Herzberg and Bernhard Jost as managers when SPS Vierte Immobilienmanagement, now Hamburg, Elbtower Immobilienmanagement GmbH, was registered on 19 August 2017. A September 2025 entry records Bernhard Chwátal and three unnamed departing managers. 1

qualification
The September 2025 departing managers are unnamed in this entry; Herzberg’s exact cessation cannot be assigned mechanically to that date.

attributedRegister summaries record Timo Herzberg managing Geinsheim GmbH at its July 2010 establishment, leaving in December 2010 and returning in January 2016. Geinsheim is Cherry Vermögensverwaltungs's general partner; this is a managerial chain, not proof of Herzberg's beneficial ownership of Cherry. 1

qualification
A director and general-partner chain is not proof of a person’s beneficial ownership or the limited partners behind Cherry.

attributedTimo Herzberg was dismissed without notice from SIGNA Prime and Development in December 2023 over suspected serious misconduct. Reporting alleged below-market Beam office rent and unusually high fit-out subsidies for Havit, of which Cherry Capital reportedly owned 60%, with a proposed criminal complaint. Herzberg rejected the allegations through lawyer Georg Muhri. 2

qualification
Suspected misconduct, favourable terms and estimated low double-digit million losses were reported allegations. Dismissal and proposed complaint are distinct from a criminal finding.
response
Herzberg rejected the allegations through lawyer Georg Muhri.
outcome
Dismissal took effect in December 2023; no final outcome on the misconduct allegations was found in the inspected passages.

attributedReporting describes Herzberg's progression from Prime COO in 2016 to German-business CEO in 2018 and appointment by Benko to lead Prime and Development in mid-2021. It reports EUR 28 million total manager bonuses in 2022, of which insiders attributed about EUR 22 million to Herzberg. 2

qualification
The approximate EUR 22 million bonus is an insider-attributed estimate; 80% of EUR 28 million is EUR 22.4 million, and the account rounds.

18INGBE Stiftung: identity, gold and disputed asset transfers

documentedLuxembourg's RESA filing published on 23 August 2023 states that, under an 18 August share sale and assignment, SIGNA Holding held zero Villa Eden Gardone Beteiligung shares and INGBE Stiftung held all 12,500 shares from 18 August. It identifies the company as B 209529 and Ingbe as FL-0002.485.176-0 but discloses no consideration. 1 2 3

qualification
The official transfer filing gives share numbers and effective date but no price; a price absence in the extract does not prove no consideration was paid or that the transfer was unlawful.

attributedA retained April 2025 account says INGBE sold more than 360 kilograms of gold on 11 March 2025 for about EUR 30 million, credited to a Liechtenstein private-bank account, and that a suspicious-transaction report was submitted on 14 March. WKStA reportedly suspected practical asset-relocation motives. 4

qualification
A gold sale and a suspicious-transaction report are not findings of money laundering. The report does not establish that sale proceeds actually left Liechtenstein.
response
INGBE’s legal representative rejected that assessment and all allegations.

attributedThe retained account of INGBE’s historical assets reports more than EUR 81 million of gold at year-end 2021 and nearly EUR 45 million in summer 2022, held with LGT Bank, VP Bank and Liechtensteinische Landesbank. It reports CHF 1 million cash at each bank and USD 1 million at each of VP and LLB, plus more than EUR 23 million in bank balances at the end of June 2022. 4

qualification
The reported banks are custodians/account providers; that role does not make them responsible for a customer’s alleged conduct. Valuation dates differ.

19René Benko: founder, advisory role and contested influence

documentedThe Austrian insolvency register records bankruptcy of entrepreneur Rene Benko, LG Innsbruck 7 S 16/24 y, announced 8 March 2024 and effective 9 March, with Andreas Grabenweger as administrator and Stephan Kasseroler as deputy. It identifies his birth date as 20 May 1977 and originally names Wess Kux Kispert & Eckert as debtor representative. 1 2

documentedBenko's personal-insolvency register records closure of his business on 24 April 2024 and appointment of KSV 1870, AKV Europa and the Austrian Republic to the creditor committee on 27 May. It later records changes of debtor representatives and further claims hearings in 2024–2025. 1

attributedThe June 2026 account identifies Benko as source of Ingbe's funds and family members, especially Ingeborg, as beneficiaries. Benko and his lawyer argue its assets are not his; Grabenweger disputes this and alleges sheltering from creditors. 3 4

qualification
These are competing ownership/asset-access positions; foundation beneficiaries and a funding source must not be relabelled as formal founders or controllers without evidence.
response
Benko and his lawyer maintain that Ingbe assets do not belong to him; Grabenweger alleges sheltering from creditors.
outcome
The related interim freeze was lifted in June 2026, with further appeal possible; this did not resolve all competing ownership arguments.

documentedIn May 2024 parliamentary testimony, Benko said he held no statutory office at Holding, Prime or Development during 2017–2023 and, to his best knowledge, none in subsidiaries, while not ruling out old residual mandates. 5

qualification
Benko’s own statement preserves the residual-mandate caveat; absence of statutory office does not answer the disputed de facto-management issue.

documentedIn the same testimony, Benko said his Holding advisory-board contract ended in November 2023 and he no longer worked for Signa; he said questions about foundations should be addressed to their boards. 5

documentedBenko's May 2024 testimony identifies Stadlhuber and Mühlberger as Holding managers and describes Prime and Development below intermediate companies, their supervisory boards approving many investments, and Dieter Berninghaus leading retail in practice as Group Executive Board chair without a formal statutory management office. 5

qualification
This is Benko’s recalled description of group governance, not a complete contemporaneous register or proof of personal links from Benko to each officer.

20Manuel Pirolt: board service, liquidation and RFR mandates

attributedRegister summaries record Manuel Pirolt leaving Laura 2017 Zwei management in August 2026 and becoming Laura 2017 Drei liquidator in September 2026. The official register gives representation from 18 September; the summary publication is 26 September. 1 2

qualification
Distinguish the official representation date 18 September 2026 from the business-summary publication 26 September; former management and liquidation are separate roles.

attributedRegister summaries list Pirolt and Christoph Sturm as BER Schicklerhaus Co-Invest Holding liquidators in August 2026. Pirolt managed SIGNA Real Estate USA Management from April 2024 and became liquidator in August 2025; he also left BDLC Immo, Berlin Charlottenstraße 61 and Berlin Ostbahnhof management during 2025, the latter after serving from September 2024. 1

qualification
This business-information record establishes the described actors, period and scope, not an independently confirmed later status.

attributedRegister summaries show Pirolt joining management of RFR Finance Verwaltungs and RFR Objekt Alsterarkaden in August 2025, RFR 9. Immobilien Verwaltungs from June 2025 to June 2026, MF Beteiligung 1 and MF Frankfurt THA 70-74 in July 2025, HaP Hotel-Besitz during May–December 2025, Morello Consulting GP during May 2025–June 2026 and THA Immobilien in June 2026. Mandates alone do not establish group ownership. 1

qualification
RFR corporate names and managerial mandates do not prove ownership of every vehicle by the RFR group or liability for the Chrysler venture.

attributedA July 2026 creditor-association report says Manuel Pirolt applied on 15 July for personal debt relief: a proposed 0.0142% payment plan over five years, or if creditors rejected it a three-year discharge plan. EUR 1,265,559,428.59 was lodged in his insolvency, mostly disputed or unexamined. 3

qualification
The case had opened as a business insolvency; the report says Pirolt had lost entrepreneur status and was by then a consumer. The creditor report gives 7 March 2025 as the opening date, against 6 March in the earlier account. The payment plan remained a proposal requiring scrutiny and creditor/court decisions.
outcome
The association said it did not know whether Pirolt had been indicted; the account records no conviction.

21Wolfram Keil: Elias transactions and retail liquidation roles

attributedFebruary 2023 register summaries record Elias Investments replacing SIGNA Holding as shareholder of Elias Retail Management and Wolfram Keil replacing an abbreviated manager. The official record dates the shareholder entry 21 February 2023 and Keil's liquidator representation 13 June 2025, with liquidation publication 2 July 2025; no transfer price is given. 1 2

qualification
No price is disclosed in the inspected summary; overlap with Deloitte’s claimed insolvency timing does not itself prove an unlawful transfer. Keil’s management does not prove he owned Elias Investments.

22Nathalie Benko: property roles, acquittal and repayment appeal

documentedThe retained history of Nathalie's Kids Charity Privatstiftung, FN 532415p, records incorporation on 26 May 2020, liquidation from 4 February 2025 and deletion on 2 July 2026. It lists Marcus Mühlberger until 21 July 2022, Aksel Lund Svindal from 1 July 2021 and Franz Josef Hillebrand from 15 June 2022 to 5 December 2024 as board members. 1

qualification
The incorporation summary gives the chairman only as N. B. and the deputy as B. H.; those initials alone do not identify Nathalie Benko or another named person.

attributedThe retained investigation account lists EUR 15.5 million of transfers from René to Nathalie Benko in 2018–2023 labelled equity for property investments. It identifies Nathalie as NB Immo’s managing director and says the company reportedly held an Ibiza villa and showed balance-sheet losses for 2022 and 2023. 2 3 4

qualification
Transfers for investment do not by themselves establish a fraudulent gift or wrongdoing by NB Immo; the source’s villa ownership is reported rather than supported here by a Spanish title record.

documentedNB Immo Deutschland KG, FN 482800a, is an Austrian limited partnership registered on 19 December 2017 to hold and develop property, particularly in eastern Germany. The retained official register lists Nathalie Benko as personally liable general partner and NB Immo GmbH as limited partner, both from that date. 5

qualification
The stated German property focus does not make the partnership a German-incorporated company or establish title to any particular German building.

23Elias Investments: identity and the retail-company transfer

documentedElias Retail Management GmbH, FN 485208t, was registered in Innsbruck on 3 February 2018 with EUR 35,000 share capital for investment management and services to department stores and retailers. The retained official register lists Elias Investments GmbH as sole shareholder from 21 February 2023 and Wolfram Keil as liquidator from 13 June 2025; it records dissolution/liquidation on 2 July 2025. 1 2

documentedThe retained Elias Investments account display reports total assets of EUR 6,856,775 at 31 December 2024, and its publication mentions record participation in Elias Retail Management GmbH on 21 February 2023. 3

qualification
The participation is separately established as sole ownership by the Austrian official register. The reported asset figure belongs to German Elias Investments, not the Austrian operating vehicle.

documentedThe retained German register republication of 12 March 2014 records Elias Investments GmbH moving its seat from Frankfurt, HRB 74707, to Grünwald under Munich HRB 210681. It identifies Wolfram Keil as managing director with self-dealing permission, EUR 25,000 capital and the original 22 February 2005 constitution. 4 3 2

qualification
The constitution date is distinct from initial registration in April 2005. Self-dealing permission is a legal representation provision, not evidence that a questionable transaction occurred.

documentedThe accessible Elias Investments document catalogue lists a shareholder list dated 10 February 2021 and 2023 accounts disclosed on 25 April 2025, with document access behind payment. 4

qualification
The catalogue proves availability metadata, not the shareholder names or contents of documents that were not retained.

24ARUAL Stiftung: reported beneficiaries and investment chains

attributedRetained reporting describes SIGNA Holding as the tenant of Villa Ansaldi on Lake Garda, leased for years as its Italian representation from Luxembourg company Landgraf SA. It says annual rent was EUR 420,000 and that substantial Holding-funded improvements were intended to reduce effective rent to EUR 20,000 a month. The reported chain is ARUAL Stiftung → Swiss Vorstadt Holding AG → Landgraf SA. 1

qualification
SIGNA Holding was the tenant and Landgraf the landlord. Ownership of the premises was described through intermediaries.

attributedRetained reporting says ARUAL used gold sales to finance its 2020 purchase of all shares in Luxembourg company Desno Participations Sarl from Laura Galene GmbH, itself wholly owned by Laura Privatstiftung. A provisional balance sheet reportedly showed CHF 7.8 million of physical gold in 2021 and none in 2022. 1

qualification
The absence of a gold balance in 2022 does not establish where the proceeds went or unlawful depletion.

attributedA retained account of a 2016 advisory memorandum describes a 2008 joint venture between Laura Privatstiftung and Bery Immobilienbeteiligungs-Anstalt to establish RB International Development Fund S.C.A. SICAR. It says ARUAL was Bery’s beneficiary and Laura held 80% of the SICAR limited-partner interests in trust for Bery from 2008 until 2010, when beneficial ownership was transferred to Laura. 2

qualification
Bery, ARUAL, Laura and the Luxembourg SICAR are separate legal structures. Laura held the 80% interests as trustee for Bery until 2010, when their economic ownership reportedly passed to Laura.

attributedA retained September 2025 account says an earlier money-laundering investigation concerning RB International Development Fund SICAR led investigators to its connection with Bery Immobilienbeteiligungs-Anstalt and to questioning René Benko. 2 3 4 5

qualification
The historical investigation is not a current charge or finding of money laundering. A procedural reference does not create a business-associate edge from Benko to Bery.
outcome
That earlier proceeding against Benko, Ingeborg Benko and a Liechtenstein trustee was discontinued.

25Alfred Gusenbauer: Signa offices, fees and proceedings

attributedWKStA’s official 2026 overview alleges that Alfred Gusenbauer, as supervisory-board chairman of Signa Development and Signa Prime, arranged unjustified success-fee advances and ordered payments in October and November 2022 without the full boards’ approval, causing a combined EUR 10 million loss. A board member was also under investigation. 1 2

qualification
The prosecution alleged breach of trust; the retained overview does not record a judgment on these accusations. This investigation is separate from Holding’s civil claim to recover consultancy fees.
response
Gusenbauer rejects the allegations.

attributedAn April 2026 account reports that Alfred Gusenbauer testified for more than seven hours in the Vienna Commercial Court in the dispute over roughly EUR 5 million of 2022–2023 Signa fees and described René Benko as Signa’s mastermind. 3

qualification
The reported characterization is testimony, not a judicial finding of Benko’s corporate capacity; the fee-recovery dispute remained pending.

documentedThe retained person record lists Alfred Gusenbauer as a board member of Haselsteiner Familien-Privatstiftung, HPH Privatstiftung and Wartenfels Privatstiftung, and as supervisory-board member of Cudos Capital AG and A&M US Selection AG. It lists him as managing director and sole shareholder of Gusenbauer Projektentwicklung & Beteiligung GmbH, managing director with a EUR 35,000 partnership contribution in the separate KG, manager of S. Gusenbauer Consulting FlexCo, and holder of 5.73% in Waldlachs and 11.16% in LGG Healthcare Services. 4

qualification
Appointment start dates are not given. His office in an investor foundation is distinct from personally owning that foundation’s Signa stake.

documentedThe retained 31 December 2024 financial display for Gusenbauer Projektentwicklung & Beteiligung GmbH reports EUR 10,251,105.21 total assets, EUR 5,629,188.91 equity, EUR 5,594,188.91 balance-sheet profit and EUR 2,003,286.04 provisions. 5

qualification
Rückstellungen are provisions, not capital reserves. Bilanzgewinn is a balance-sheet retained/distributable-profit item, not necessarily the current year’s operating profit. These are company figures, not Alfred Gusenbauer’s personal wealth.

documentedThe retained record identifies Gusenbauer Projektentwicklung & Beteiligung GmbH & Co KG separately under FN 159497f and VAT ATU60640738. It lists Alfred Gusenbauer as sole-representation manager with EUR 35,000 contribution, Selina Gusenbauer as limited partner with EUR 300, and the Gusenbauer GmbH as general partner. Total assets at 31 December 2025 were EUR 3,517,519.06. 6

qualification
Capital contributions are amounts, not ownership percentages. The KG’s balance sheet must not be combined with the separate GmbH’s accounts or fee-recovery claim.

documentedS. Gusenbauer Consulting FlexCo, FN 627791y, is a Vienna project-development, consulting and investment-management company with the legal-form date 22 March 2024. The retained record lists Selina Gusenbauer as 100% shareholder and Alfred Gusenbauer as managing director with sole representation. 7

qualification
Formation after Holding’s insolvency does not itself establish asset shifting, succession to the fee recipient or involvement in Signa.

26Holding recovery claims: demands, settlements and limits

attributedRetained reporting says Signa’s directors-and-officers insurer, with a reported EUR 105 million annual cover limit, stated in 2024 that it had been misled when coverage was arranged. It alleged Marcus Mühlberger gave false answers in a 2013 risk questionnaire and that Benko continued as a de facto manager or board member after leaving formal offices. 1 2

qualification
This is the insurer’s reported contractual position, not a court finding of deception, denied coverage or liability. The annual cover limit is not a recoverable award.
response
Benko has denied the wider allegations that he was SIGNA Holding’s de facto manager.

attributedIn the reported March 2025 administrator account, Stapf expected no recovery from Holding’s interests in Prime and Development held through intermediate companies, considering them to have at most scrap value. 3

qualification
This was an administrator’s then-current valuation and recovery expectation concerning Holding’s investment strands, not a finding that all underlying group properties had no value or a completed realisation result.

27Susanne Riess-Hahn: Signa boards and liability questions

documentedSusanne Riess-Hahn, also known as Susanne Riess and formerly Riess-Passer, is described in the retained biographical reference as Austria’s vice-chancellor and minister for public service and sport from 2000 to 2003 and Wüstenrot’s general director from 2004. 1

qualification
These historical public offices provide biographical context. They are not a sanction designation or an adverse finding.

28Dieter Berninghaus: consultancy and the disputed EUR 16.7m

attributedA January 2026 account describes Swiss federal prosecutors notifying WKStA in July 2025 of evidence and assets potentially connected with Austrian offenses after three Swiss banks reported three accounts with seven-figure balances to MROS in spring 2025. 1

qualification
Swiss prosecutors were not running their own case and offered assistance if Austria requested it. A report to MROS is a suspicion report, not a money-laundering conviction.

29George Economou: Globalbasis and Signa’s ownership changes

attributedA retained April 2015 account gives SIGNA Holding’s then-existing legal stakes as Familie Benko Privatstiftung 49.0476%, Cyprus Globalbasis Limited 50%, and RB Immobilienverwaltungs GmbH 0.9524%. It quotes a notified intended purchase of an additional 25.1% by the foundation, giving a projected direct-and-indirect total of about 74.15%. 1

qualification
The competition notification described an intended transaction; the rounded headline’s 25% and the precise 25.1% must not be conflated. These are historical 2015 figures.

attributedThe retained April 2015 account says Greek shipowner George Economou controlled Cyprus-based Globalbasis Limited, through which he had acquired roughly half of SIGNA Holding in 2009. 1

qualification
Economic control through Globalbasis is distinct from a personally registered stake; separate reporting places his exit in September 2015.

attributedAn April 2015 account quotes SIGNA Holding’s notified intended purchase of all shares in Am Hof 2 Hotelbetriebs GmbH, Park Hyatt Vienna’s operating company. Cardiff Marine Inc., Liberia, was reported as the previous 100% holder and Economou’s shipping group. 2

qualification
The notification describes a proposed acquisition of the operating company, not title to all hotel real estate or completed purchase on the article date.

attributedA retained 2011 profile describes George Economou’s Cyprus vehicle Globalbasis as the investor replacing early financier Karl Kovarik in SIGNA Holding. 3

qualification
The profile uses economic half-partner language. Exact legal stakes and timing require the separately retained register and 2015 accounts.
