SIGNA Holding: ownership, collapse and proceedings

Julius Bär: Signa reporting and FINMA’s unnamed client

2Different exposure measures and different evidence

analysisAt the Holding’s November 2023 insolvency, reporting identified Julius Bär as one of the Signa group’s largest lenders, with an insider estimate above CHF600 million. That was an attributed group exposure, not a filed claim against the Holding as one company. It should not be added to or substituted for the larger cumulative loan amount described by FINMA later. Group-level lending can involve several legal borrowers, while an insolvency claim belongs to a particular estate. 1

qualification
The Julius Bär figure is an insider estimate from November 2023; FINMA’s later official release does not identify its European client group by name. Helaba and BayernLB amounts are nonspecific.

analysisFINMA’s enforcement release of 29 September 2026 describes eight private-debt loans granted from September 2019 to a European group and its founder. Their total value exceeded CHF1 billion in 2022 and 2023. It does not name the group or founder. The official finding is consequently against Julius Bär’s conduct in those lending relationships; the separate November 2023 Signa borrower reporting does not establish the identity of this unnamed client group. The release also addresses Russian politically exposed persons in different client cases, which must not be conflated with the unnamed European group’s lending. 2

qualification
FINMA did not name the European group or founder. Its findings are against Julius Bär; a Signa identification requires separate attributed reporting and cannot be treated as an official disclosure.

documentedFINMA's 29 September 2026 enforcement release states that Julius Bär granted eight private-debt loans to an unnamed European group and its founder from September 2019, exceeding CHF 1 billion in 2022–2023. It found repeated breaches of internal borrower limits and regulatory concentration-risk reporting, inadequate controls and conflicts of interest. 2

qualification
FINMA did not name the European group or founder. Its findings are against Julius Bär; a Signa identification requires separate attributed reporting and cannot be treated as an official disclosure.
outcome
FINMA concluded enforcement, recognizing the bank’s discontinuation of private debt, stronger controls and changed governance, and lifting or relaxing several immediate measures. Reports remain required until 2032 and further restrictions continue; the ruling was not yet legally binding.

documentedFINMA found that Julius Bär facilitated opaque equity transactions and obtained a EUR 60 million pass-through transaction, making its end-2022 loan portfolio fail to reflect economic reality. The CHF 586 million exposure remaining at end-2023 was fully written down. 2

qualification
The official release’s European client remains unnamed. These findings must not be confused with the separately discussed Russian PEP client cases or automatically assigned to SIGNA Holding as exact borrower.
outcome
The CHF586 million end-2023 exposure was written down in full. FINMA’s September 2026 ruling was not yet legally binding; measures to sustain compliance continued after partial relaxation of earlier restrictions.

3Lending controls and the economic exposure

analysisFINMA found that the private-debt business was commonly secured by borrowers’ unlisted shares rather than traditional collateral and that the bank lacked adequate organization, rules, controls and staffing for the activity. It found repeated disregard of the bank’s own limits for individual debtors and breaches of regulatory concentration-risk reporting. It also identified warning signs, conflicts of interest and misguided incentives. These findings concern the bank’s lending and governance; they do not establish that every borrower committed an offence or that every connected Signa participant shared responsibility. 1

qualification
FINMA did not name the European group or founder. Its findings are against Julius Bär; a Signa identification requires separate attributed reporting and cannot be treated as an official disclosure.

analysisThe regulator described opaque equity transactions involving securities in the client group’s companies and a EUR60 million pass-through transaction that the bank persuaded the group to undertake. FINMA said the consequence was an end-2022 loan portfolio that did not reflect economic reality. The CHF586 million exposure still outstanding at the end of 2023 was written down in full. The cumulative loans above CHF1 billion, the year-end outstanding exposure and the write-down are different measures with different dates; the figures do not describe three independent losses. 1

qualification
The official release’s European client remains unnamed. These findings must not be confused with the separately discussed Russian PEP client cases or automatically assigned to SIGNA Holding as exact borrower.
outcome
The CHF586 million end-2023 exposure was written down in full. FINMA’s September 2026 ruling was not yet legally binding; measures to sustain compliance continued after partial relaxation of earlier restrictions.

4Enforcement outcome and the scope of its meaning

analysisFINMA concluded enforcement while recognizing substantial changes: the bank had discontinued private debt, reduced lending, strengthened controls, changed remuneration and overhauled governance. The current management team had been appointed after the events that caused the identified breaches. FINMA lifted or relaxed several immediate capital, liquidity and business restrictions, while requiring reports until 2032 and retaining additional measures. The ruling was not yet legally binding. Its separate CHF10 million profit confiscation concerned two Russian PEP client groups, rather than the unnamed European group. Those distinct matters cannot be merged into a claim of a Signa-related profit confiscation. 1

qualification
FINMA did not name the European group or founder. Its findings are against Julius Bär; a Signa identification requires separate attributed reporting and cannot be treated as an official disclosure.
